These Terms & Conditions (“Terms”) govern your use of the Flexitime website at www.flexitime.ie (the “Website”) and, where applicable, your interaction with Flexitime in connection with organisational wellbeing enquiries, proposals, programmes, professional registrations and related services.
Flexitime provides tailored wellbeing solutions for organisations by helping organisations identify their needs, develop appropriate wellbeing programmes and connect with suitable wellbeing professionals from our network.
By using the Website, submitting an enquiry, registering your professional services, accepting a proposal or otherwise engaging Flexitime, you agree to these Terms.
Where a separate proposal, Event Brief, Agreement, quotation, booking confirmation or other written agreement is issued by Flexitime for a specific programme, those programme-specific terms will also apply.
If there is a conflict between these general Terms and a programme-specific agreement, the programme-specific agreement will take priority in relation to that programme.
Flexitime is an Irish wellbeing business providing tailored wellbeing solutions for organisations, groups and communities.
Depending on the requirements of an organisation, Flexitime may:
Discuss and assess an organisation’s wellbeing requirements;
Review information submitted through our organisational enquiry process;
Develop recommended wellbeing solutions or programme structures;
Identify and select suitable wellbeing professionals;
Obtain or consider professional availability, pricing and suitability;
Prepare quotations and programme proposals;
Coordinate communication between organisations and selected professionals;
Assist with programme scheduling and planning;
Coordinate venues, activities, facilitators or other programme requirements where agreed;
Provide on-site programme or event management where included in the agreed service;
Support delivery before, during and after a wellbeing programme; and
Provide other related wellbeing programme management services.
Flexitime is not a public wellbeing marketplace or public professional directory.
Wellbeing professionals who provide information to Flexitime form part of an internal professional network from which Flexitime may identify suitable professionals for organisational opportunities.
Organisations are therefore not required to independently search through a public directory, contact multiple professionals or manage the complete sourcing and selection process themselves.
Flexitime acts as a wellbeing programme coordinator, organiser and matching service.
Our role may include identifying appropriate professionals, designing or recommending programme formats, coordinating delivery and managing agreed elements of a programme.
The exact services provided by Flexitime will depend on the package, proposal or programme agreed with the organisation.
Wellbeing professionals engaged in a Flexitime programme may operate as independent professionals or businesses.
Unless expressly stated otherwise, such professionals are not employees of Flexitime.
Each professional remains responsible for:
The professional service they personally provide;
Delivering services within their competence, qualifications and experience;
Maintaining any qualifications, certifications, memberships, licences or registrations required for their work;
Maintaining appropriate insurance where required;
Complying with applicable professional standards and legal obligations; and
Informing Flexitime of any material change affecting their ability to safely or appropriately deliver a service.
Flexitime remains responsible for delivering the coordination, programme management and other services that Flexitime has expressly agreed to provide.
You may use the Website only for lawful purposes.
You must not:
Attempt to interfere with, damage or compromise the Website or its systems;
Introduce viruses, malware or other harmful material;
Submit deliberately false, misleading or fraudulent information;
Use forms for spam, unsolicited marketing or abusive communication;
Attempt to gain unauthorised access to restricted areas;
Scrape, harvest or systematically extract information from the Website without our permission;
Impersonate another person, organisation or business; or
Use information obtained through Flexitime for unlawful or inappropriate purposes.
We reserve the right to restrict or prevent access to the Website where we reasonably believe misuse has occurred.
Organisations may submit information to Flexitime regarding their wellbeing requirements.
This may include information regarding:
Organisation type;
Location;
Number of participants;
Audience or participant group;
Wellbeing objectives;
Areas of support required;
Preferred dates or timeframes;
Programme format;
Venue arrangements;
Budget;
Accessibility requirements; and
Other information necessary to understand the organisation’s requirements.
Submitting an enquiry does not create a binding obligation on either party to proceed with a programme.
Flexitime may review the enquiry, discuss requirements with the organisation and prepare a proposed solution or quotation.
We may request additional information before making recommendations.
Flexitime uses the information provided by an organisation to identify professionals and programme options that we consider appropriate for the organisation’s stated requirements.
Professional selection may take account of factors such as:
Relevant skills and experience;
Type of wellbeing support required;
Location and travel requirements;
Availability;
Delivery format;
Group size;
Professional fees;
Insurance;
Garda Vetting where relevant;
Qualifications or certifications;
Previous experience;
References or previous work;
Programme budget; and
Other relevant suitability considerations.
Flexitime will use reasonable care when recommending and selecting professionals.
However, professional matching necessarily involves professional judgement and no particular result, participant response or wellbeing outcome can be guaranteed.
Flexitime may recommend one professional or several professionals depending on the programme.
The final programme structure may change during planning where availability, budget, logistics or other circumstances require an alternative professional or format.
Wellbeing professionals may submit their details to Flexitime for consideration for future organisational opportunities.
Registration or submission of professional information:
Does not create employment with Flexitime;
Does not create an agency, partnership or joint venture;
Does not guarantee acceptance into our professional network;
Does not guarantee any minimum level of work;
Does not guarantee that a professional will be recommended to organisations; and
Does not require Flexitime to offer any particular opportunity.
Flexitime may assess professionals based on matters including qualifications, experience, insurance, suitability, location, availability, pricing and the requirements of individual organisations.
Flexitime may contact professionals when potentially suitable opportunities arise.
Flexitime reserves the right to decide which professionals are included, retained, contacted or selected for opportunities within its network.
Professionals providing information to Flexitime must ensure that the information they provide is accurate, current and not misleading.
Professionals are responsible for informing Flexitime of material changes relating to matters including:
Contact details;
Qualifications;
Professional status;
Services offered;
Insurance;
Garda Vetting;
Availability;
Pricing;
Delivery areas;
Business status; and
Anything that may affect their suitability to deliver services.
Flexitime may request supporting documentation or further information before offering an opportunity.
Where reasonably necessary, Flexitime may verify information or request clarification.
Flexitime may remove a professional from consideration where information is inaccurate, cannot reasonably be verified, professional standards are not met or there are legitimate concerns regarding suitability or conduct.
Being included within the Flexitime professional network does not guarantee paid work.
The availability of opportunities depends on organisational demand, location, programme requirements, budgets, professional suitability and other factors.
Flexitime is under no obligation to distribute opportunities equally between professionals.
Professionals may be selected based on what Flexitime reasonably considers to be the best fit for a particular organisation or programme.
Every Flexitime programme is quoted individually unless expressly stated otherwise.
Prices shown on the Website are generally starting prices or indicative prices and are not guaranteed prices for a particular organisation.
Final pricing may vary depending on factors including:
Number of professionals required;
Professional or facilitator fees;
Programme duration;
Planning and coordination requirements;
Location;
Travel;
Accommodation where required;
Venue requirements;
Equipment;
Materials;
Catering or refreshments;
Weekend delivery;
On-site event management;
Group size;
Accessibility requirements;
Programme complexity; and
Other agreed services.
This means that two programmes that appear similar may have different final prices.
A quotation or proposal will identify the price and scope applicable to the particular organisation.
Unless stated otherwise, quotations are subject to professional availability and may have a stated validity period.
Prices are exclusive of VAT where VAT is applicable unless expressly stated otherwise.
A programme becomes confirmed when the required acceptance process specified by Flexitime has been completed.
Depending on the organisation and programme, this may include one or more of the following:
Written acceptance of a proposal;
Approval of a quotation;
Confirmation by email;
Signing or approving a Flexitime Event Brief & Agreement;
Issuing an appropriate Purchase Order;
Payment of a required booking payment or deposit; or
Completion of another agreed booking process.
Flexitime may treat dates as provisional until the required booking conditions have been satisfied.
The organisation should not assume a programme, professional or date is confirmed until Flexitime has provided confirmation.
Wellbeing programmes are tailored to individual organisations and circumstances may occasionally require changes.
Flexitime may make reasonable changes to:
Timings;
Running order;
Professionals;
Activities;
Delivery methods;
Venues;
Materials; or
Other programme details
where necessary to safely and effectively deliver the programme.
Where a selected professional becomes unavailable due to illness, emergency or circumstances outside reasonable control, Flexitime may seek to provide a suitably qualified alternative.
Where a material change is required, we will communicate with the organisation as soon as reasonably practical.
Flexitime will not materially reduce the agreed scope of a programme without discussing the change with the organisation.
The organisation is responsible for providing Flexitime with accurate and timely information reasonably required to plan and deliver the programme.
Depending on the programme, the organisation may also be responsible for:
Confirming expected participant numbers;
Communicating relevant programme information to participants;
Providing suitable facilities where the programme takes place at the organisation’s premises;
Ensuring agreed venue access;
Providing information regarding accessibility requirements;
Identifying relevant health, safety or safeguarding requirements;
Ensuring Flexitime and professionals are informed of site-specific rules;
Obtaining necessary internal approvals;
Providing Purchase Order information where required;
Ensuring an appropriate organisational representative is available when reasonably required; and
Complying with responsibilities identified in the Event Brief or programme agreement.
Additional costs caused by significant changes, inaccurate information or requirements introduced after a programme has been agreed may result in a revised quotation.
Any additional charge will be communicated before being incurred wherever reasonably practicable.
Flexitime programmes may include activities such as wellbeing education, movement, relaxation, mindfulness, breathwork or other wellbeing practices.
Such services are intended to support general wellbeing and are not a substitute for medical treatment, diagnosis, psychotherapy or other regulated healthcare unless the relevant service is expressly being provided by an appropriately qualified professional acting within their professional capacity.
Participants should take responsibility for participating at a level appropriate to their own circumstances.
Where appropriate, participants should:
Inform the relevant professional of injuries, medical restrictions or other circumstances that could affect participation;
Follow reasonable safety instructions;
Stop participating if they experience pain, dizziness or significant discomfort; and
Seek appropriate medical advice where unsure whether an activity is suitable for them.
No wellbeing programme can guarantee a particular physical, psychological, organisational or wellbeing outcome.
Nothing in these Terms excludes responsibilities that cannot legally be excluded.
All organisations, professionals and participants are expected to behave respectfully and appropriately during Flexitime programmes.
Flexitime may take reasonable action where there are concerns regarding:
Harassment;
Discrimination;
Threatening behaviour;
Unsafe conduct;
Safeguarding;
Serious professional misconduct; or
Behaviour that creates an unreasonable risk to participants, professionals or Flexitime personnel.
Where necessary for safety or safeguarding reasons, Flexitime or the relevant professional may suspend or stop an activity.
Payment terms will be specified in the relevant quotation, proposal, invoice, Event Brief or agreement.
Depending on the organisation, these may include:
A booking payment or deposit;
Payment before delivery;
Payment following delivery;
Purchase Order arrangements; or
Other agreed payment terms.
Different payment arrangements may apply to public sector organisations or organisations operating formal procurement or Purchase Order systems.
Invoices must be paid within the period stated on the invoice or other applicable agreement.
Where payment terms have been specifically agreed in writing between Flexitime and an organisation, those agreed terms will apply.
The organisation is responsible for ensuring that any Purchase Order, supplier registration or internal payment requirement is completed in sufficient time to avoid unnecessary delays.
Cancellation and rescheduling terms applicable to a particular programme may be set out in:
The Flexitime Pricing & Booking Information;
A programme proposal;
A quotation;
An Event Brief & Agreement; or
Another written agreement between Flexitime and the organisation.
Because Flexitime programmes may involve reserving professionals, venues, travel and other resources in advance, cancellation charges may apply.
Where Flexitime has already incurred non-refundable third-party costs on behalf of the organisation, those costs may remain payable where permitted by the applicable agreement and law.
Flexitime will take reasonable steps to minimise avoidable costs following a cancellation.
Where an organisation requests rescheduling, Flexitime will make reasonable efforts to accommodate the request, subject to professional, venue and operational availability.
A change of date cannot always be guaranteed.
Flexitime may occasionally need to cancel, postpone or materially alter a programme due to circumstances such as:
Professional illness or emergency;
Venue closure;
Severe weather;
Transport disruption;
Public health restrictions;
Safety concerns;
Government restrictions;
Events outside our reasonable control; or
Other circumstances that make delivery impracticable or unsafe.
Where reasonably possible, Flexitime will attempt to provide an alternative professional, date or arrangement.
Any refund, credit or alternative arrangement will take account of the circumstances, costs already properly incurred and the terms of the programme-specific agreement, subject always to applicable law.
Some programmes may involve third-party venues, caterers, accommodation providers, equipment providers or other suppliers.
Where Flexitime arranges these services as part of the agreed programme, the applicable costs will be included or otherwise identified in the quotation where reasonably possible.
Third-party suppliers may have their own cancellation or booking conditions.
Flexitime is not responsible for matters outside its reasonable control relating to third-party premises or services but will use reasonable efforts to assist in resolving problems affecting an agreed Flexitime programme.
Flexitime may use digital systems and technology-assisted tools to help manage enquiries, organise information, identify potentially suitable professionals, prepare programme information and support administrative workflows.
These systems may assist Flexitime’s internal processes but do not replace Flexitime’s responsibility for making appropriate business decisions regarding programmes and professional selection.
Organisations and professionals remain responsible for ensuring that information submitted to Flexitime is accurate.
Personal data processed through such systems will be handled in accordance with our Privacy Policy and applicable data protection law.
Unless otherwise stated, the Website and materials created by Flexitime are owned by or licensed to Flexitime.
This may include:
Website text;
Branding;
Logos;
Graphics;
Programme structures;
Proposal formats;
Event materials;
Documents;
Photography owned by Flexitime;
Videos;
Marketing materials; and
Other original Flexitime content.
Such material may not be copied, reproduced, distributed, sold or commercially exploited without our permission, except where permitted by law.
Where organisations or professionals provide logos, photographs, biographies, service descriptions or other materials, they confirm that they have the right to provide those materials to Flexitime.
They grant Flexitime permission to use the material as reasonably necessary for the purposes for which it was provided.
Any use for wider promotional or marketing purposes will be subject to applicable permissions, agreements and data protection requirements.
Photography, video or other promotional content may sometimes form part of a Flexitime programme.
Where this applies, arrangements regarding photography, participant notification, organisational approval and use of content may be set out separately.
Flexitime will not assume that an individual has consented to identifiable promotional use merely because they attended a programme.
Organisations should inform Flexitime in advance of any restrictions relating to photography or recording at their premises or involving their participants.
Information supplied by professionals for Flexitime’s internal professional network is not intended to operate as a publicly searchable professional directory unless explicitly agreed otherwise.
Flexitime may use relevant professional information internally when:
Assessing suitability;
Matching professionals with organisational requirements;
Preparing programme options;
Calculating programme costs;
Contacting professionals regarding opportunities; and
Managing confirmed programmes.
Flexitime may share relevant professional information with an organisation where reasonably necessary to explain or confirm a proposed programme or professional selection.
We will handle personal information in accordance with our Privacy Policy and applicable data protection law.
Flexitime processes personal data in accordance with applicable data protection law, including the General Data Protection Regulation (“GDPR”) and Irish data protection legislation.

If an organisation or professional has a concern regarding a programme, professional, payment, communication or other Flexitime service, they should contact us as soon as reasonably possible so that we have an opportunity to investigate and respond.

Where a concern relates to the professional service delivered by a particular wellbeing professional, Flexitime may discuss the matter with that professional as part of investigating the issue.
Nothing in this section affects any legal rights available to either party.
Flexitime will exercise reasonable care and skill in providing the services that we have agreed to provide.
To the fullest extent permitted by applicable law, Flexitime will not be liable for:
Losses that were not reasonably foreseeable when the relevant agreement was made;
Indirect or consequential business losses;
Loss caused by inaccurate or incomplete information supplied to Flexitime;
Matters caused by an organisation’s failure to fulfil its agreed responsibilities;
Actions outside Flexitime’s reasonable control;
A participant’s failure to follow appropriate safety instructions; or
Independent actions of a professional that fall outside the scope of the services Flexitime has agreed to coordinate or provide.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other mandatory statutory right.
Where permitted by law and unless otherwise agreed in writing, Flexitime’s aggregate liability arising directly from a particular organisational programme will not exceed the total amount paid or payable to Flexitime for that programme.
This section does not affect any rights or remedies that cannot lawfully be restricted or excluded.
Neither Flexitime nor an organisation will be treated as having breached an agreement where performance is prevented or materially delayed by circumstances outside that party’s reasonable control.
Such circumstances may include severe weather, natural disasters, widespread transport disruption, epidemic or public health emergency, government action, civil emergency, major utility failure or other comparable events.
The affected party should notify the other party as soon as reasonably practicable.
Both parties should make reasonable efforts to minimise disruption and, where appropriate, agree alternative arrangements.
We may update these Terms from time to time to reflect changes in:

Our business model;

Operational processes; or
Applicable legal or regulatory requirements.

Changes will not retrospectively alter programme-specific terms already agreed unless required by law or separately agreed between the parties.
If any provision of these Terms is found by a court or other competent authority to be invalid, unlawful or unenforceable, the remaining provisions will continue to apply.
Where possible, the affected provision will be interpreted or adjusted only to the extent necessary to make it lawful and enforceable.
If Flexitime does not immediately enforce a right under these Terms, this does not mean that the right has been waived.
Similarly, exercising a right on one occasion does not prevent that right being exercised again where appropriate.
These Terms and any non-contractual obligations arising from them are governed by the laws of Ireland.
Subject to any mandatory legal rights that apply, disputes arising in connection with these Terms or Flexitime’s services will be subject to the jurisdiction of the Irish courts.
Nothing in these Terms removes any statutory rights or protections that cannot lawfully be excluded.
